Employers invest a significant amount of time, energy and money into developing proprietary information, from product formulas to customer lists. It is a reality of the business world that employees who have access to that proprietary information may leave their employer to pursue other opportunities. Should your business have a need to protect certain confidential information, a restrictive covenant (an agreement that generally restricts post-employment competition by a former employee) must be carefully drafted to protect your business to the full extent of the law.
If such a covenant is too broad, it may be challenged in court and rejected. Conversely, if it is too narrow it will not offer your business the required protection.
